Quorum and Meetings of the Board. - The Board of Directors shall meet at least once every two (2) weeks, or as often as may be necessary upon its constitution. It may hold special meetings to consider urgent matters upin call of the Chairperson or upon initiative of at least two (2) members of the Board of Directors.
In order to constitute a quorum in Board meetings, a majority of the total membership of the Board of Directors shall required to constitute a decision of the Board of Directors.
The Board of Directors shall maintain and preserve a complete record of the proceedings and deliberations of the Board of Directors, including the minutes, transcripts, and records, either in original or digital form. The meetings of the Board of Directors may be conducted through modern technologies such as teleconferencing and videoconferencing.
